DataMiner Collaboration Platform – Terms of Use



By accessing and using the DataMiner Collaboration Platform (DCP), you conclude a legal binding agreement with Skyline Communications NV, a corporation registered in Belgium (Kortrijk 109.372), and you accept the Terms of Use explained below. In case you are using DCP on behalf of a company or other legal entity, you still remain individually bound by these Term of Use. If you don’t agree with any of the terms and conditions below, you shall not access, attempt to access, view, download or use DCP.


1. Using DCP


DCP is supplied to assist you with the operations of your DataMiner System, and Skyline Communications NV cannot be held liable for the information provided by DCP. The information contained in DCP is carefully selected by Skyline Communications NV, and is in most cases submitted to one or more verifications processes, however the use of that information remains the responsibility of the user. Any feedback about the correctness of the information on DCP, or the usage of it, can be addressed to the DataMiner Tech Support team. On the condition that you comply with all your obligations under this Agreement, we grant you a limited, revocable, non-exclusive, non-assignable, non-sublicenseable right to access DCP and to use the information contained in DCP for the sole purpose of operating your DataMiner System, or the furtherance of your DataMiner business as a registered DataMiner Business Partner.


2. Service Eligibility


You represent and warrant that you are the legal owner of a DataMiner System or an officially registered DataMiner Business Partner; you have not previously been suspended or removed from DCP; you are not a direct competitor of Skyline Communications NV; and that you have full power and authority to enter into this Agreement and in doing so will not violate any other agreement to which you are a party.


3. Obligation of Reporting


If you are not the legal owner of a DataMiner System or a registered DataMiner Business Partner and you gained access to DCP, you shall refrain from further accessing DCP and using any of the information contained in DCP, and you shall report this immediately to Skyline Communications NV.


4. Personal Password


The password that you have received is strictly personal and shall be treated accordingly. Keep your password confidential, do not use other users’ accounts and do not let others use your account; you are responsible for anything that happens through your account, this until you notify us of a breach or close down your account. You are prohibited from selling, trading or otherwise transferring your DCP account or any information contained in DCP to another party.


5. Protection of information


The information contained in DCP is protected by copyright law and international treaties. Unauthorized reproduction or distribution of that information, or any portions of it, is strictly prohibited, and may result in severe civil and criminal penalties, and will be prosecuted to the maximum extent possible under the law. None of the information found on DCP can be shared with any third party or be published in the public domain.


6. Confidentiality


The information supplied on DCP is strictly confidential (and may be privileged). Some data contained in it may be protected by intellectual property rights, and it is intended for the sole use of the individual or entity owning or doing business with the associated DataMiner products. Any use of information contained herein (including, but not limited to, total or partial reproduction, or distribution in any form) by persons other than DataMiner users or registered business partners is prohibited. Note that the information is also likely to be subject to a separate non-disclosure agreement.


7. Right to use software


Although you may be able to download certain DataMiner software components from DCP (including but not necessarily limited to DataMiner drivers and core software components), this does not imply, under any conditions, that you have the right to deploy any of these software products. Only software purchased, and paid in full, or as agreed in written with Skyline Communications NV otherwise, can be permanently deployed in your DataMiner System. You have the limited right to evaluate the non-purchased DataMiner software, for a period of maximum 8 weeks, provided that you have a prior written consent of Skyline Communications NV. Skyline Communications NV is under no circumstances liable for the consequences related to the evaluation of any of the available DataMiner software. Technical support for the evaluation of DataMiner software can be requested and will be supplied up to a reasonable level, at the sole judgment of the DataMiner Tech Support team. Note that the use of DataMiner Software is entirely governed by the “Rights to Use Software Licenses Agreement” supplied with that software.


8. Limited liability


Skyline Communications NV is under no circumstances liable for any consequences related to the use of DCP or the information contained in DCP.


9. Trademarks


Some product names that can be found on DCP may be trademarks or registered trademarks of their respective companies, and are hereby acknowledged.


10. Applicable Law


Any disputes that may arise from these Terms of Use will be governed by the laws of Belgium, and will be submitted to the Commercial Court of Kortrijk.
